Proposed Change to Bylaws (June 2018)

BACKGROUND
In 2016, Jerod Rivers of the FAI staff discovered a flaw in the approved bylaws for each region, including SERFA. It limits the number of board candidates to the number of open seats in any board election. Unless a candidate goes through the petition process, therefore, the election slate would always just be the board nominees with no choice and, further, no election required. This is a device from publicly traded companies’ bylaws and not appropriate for a membership-based non-profit. The SERFA board, therefore, has drafted an amendment to our bylaws to address this issue. The FAI Regions Committee and full board have approved this amendment going forward to the members of SERFA.

FULL TEXT OF CURRENT LANGUAGE (WORDING TO BE CHANGED IS SHOWN IN BOLD ITALIC)
Article II, Section 3. Nomination and Election. The Board will serve as the nomination committee or may appoint an outside nominating committee of members in good standing headed by a member of the Board. When preparing the slate, nominees representing states in the Folk Alliance International’s Southeast region should be sought as well as nominees from the SERFA states with expertise in the finance, music law, marketing, fundraising and other areas of benefit to SERFA.

The list of nominees equal in number to the list of openings, and accepted by the Board, shall be sent to the membership no later than 90 days ahead of the annual conference. This announcement may be included with or as part of the SERFA annual conference, e-mailed, or printed in or mailed with the FAI newsletter. Additional nominees may be submitted by the membership upon letter(s) of support from at least ten (10) members in good standing received no later than 60 days ahead of the annual regional conference. If no additional supported nominations are received, the slate will be deemed elected.

Otherwise a mail or electronic ballot will be distributed by 30 days prior to the annual regional conference with the results to be announced at the conference.
